TERMS OF SERVICE.

GENERAL

In order to commission our studio, the client must acknowledge and agree to the conditions stated in this document.
After submitting your request, please allow up to 3 business days for a response.
Filling out the commission request form does not guarantee a slot, we ask for your understanding.
All communication regarding the commission will be done through NyanStudio's official accounts (Twitter or Discord).
Returning customers can DM us directly instead of filling out the commission request form.

disclaimer

All Live2D models made by us are fully compatible with VTube Studio. Using them in any other software does not guarantee the best rigging quality.
We do not provide any kind of support regarding software for streaming, editing, vtubing, etc; however, we’ll give you support if you find any bugs/errors in the files provided by us.
Our products are digital, we do not offer any physical products at the moment.
Any materials and files submitted to us to be used on commissioned pieces should have authorization from the respective artists, as NyanStudio will not be responsible for any copyright infringement committed by the client.
NyanStudio reserves the right to change these Terms of Service at any time without prior notice.

PAYMENT

All payments should be made in USD using PayPal’s invoice or Wise.
The client must pay the entire value of the project upfront.
We will not tolerate bargaining or attempts to obtain any payment method other than the ones specified in our agreements.
Failing to pay an invoice within 48 hours may lead to a cancellation and your slot will not be granted.
All prices on our website are starting prices. The final price is subject to change depending on the project's complexity.

process

After submitting the commission request form and being accepted, our project manager will contact the client informing the project's final pricing and estimated delivery time.
Upon receiving commission previews, the client can ask for adjustments and provide feedback. All requested modifications should be clear and reasonable.
Extensive revisions or major changes in the creative direction of the project may be considered a new project and will be charged accordingly.
Once approved the sketch/draft, any extra revision will incur additional charges.
Rushing or contacting our members during the process is forbidden and will lead to the cancelation of the project. The client must respect the structure established in our studio.
If the client fails to maintain communication when asked for feedback for more than 48 hours, the progress will be paused and may extend the delivery date.
If the customer does not respond within two weeks, the project will be canceled with no refunds.
The commission process may be shared or streamed by our studio members. For commission secrecy, the customer must notify us in advance.
Any further changes requested after the final delivery will be charged accordingly.

REFUNDS AND CANCELLATIONS

Once a project begins, the customer will no longer be eligible for a full refund.
If the customer still wants to cancel, we will provide a 30-day pause so that the client can try to resolve the issues that are keeping them from continuing with the project; if this is refused, we will terminate the project and consider a partial refund.

COMPENSATION	STAGE
50% refund	All processes for the project are in the sketch phase when the cancelation is requested.
20% refund	Any sketch/preview has already been approved by the client when the cancellation is requested.

Refusing to use the provided refund procedures will be considered a violation of our Terms of Service and will result in the client's blacklisting.
Upon cancellation, the client revokes the rights to receive any files from the project.
If the customer fails to maintain communication and provide feedback for a long period of time, the project may be canceled with no refunds.
If the customer violates or fails to comply with any of the Terms stated in this document, NyanStudio reserves the right to cancel the project with no refunds.
Hate speech or any disrespectful interaction from the client will not be tolerated and will lead to the cancelation of the commission.
If the commission cannot be completed for any reason through no fault of the client, a full refund will be issued.

NyanStudio owns the rights to all commissioned works, completed or discontinued projects.
The client must credit NyanStudio on any platform they are using the files provided by us.
Standard Commercial Use is included in all projects done by us.
When filling out our commission request form, the customer must specify the usage of the files so that it may be evaluated and charged under the following conditions:

The client is authorized to use the files on streaming platforms and social media (youtube, twitch, twitter, etc) without paying extra taxes.	The client will be granted the rights to use the files and profit in any commercial ways other than streaming (digital/physical merch, announcement banners, marketing, etc).

In order to re-sell for the purpose of rebranding, the client must purchase the Full Commercial Use license.
Using any NyanStudio's works for NFT or AI is strictly forbidden.

DELIVERABLES

The client will receive a google drive link with all the project files ready to be downloaded.
NyanStudio does not provide the source file for Live2D projects.

CONFIDENTIALITY

Nyan Studio will never disclose a client's personal information without their explicit authorization.
The commission process may be shared or streamed by our studio members.
The client can request that their commission remain secret until debut for a 20% privacy fee.
NyanStudio members will not disclose any commission information until the agreed-upon time limit has expired.

The standard delivery time vary between 1 and 3 months after the starting date.
Priority can be requested by the client, although it may not be available for all services. We provide the following rush services:

1. Are you recruiting new members?

NyanStudio is not currently looking for new members.

2. What is qualified as a complex project?

The level of complexity will be assessed by us on a case by case basis. Heavy physics, accessories with their own physics, clothes with multiple ornaments, complex structure, liquid; illustrative overlays; are examples of what may be determined as complex.
